Supplier Listing Terms & Conditions

These Supplier Listing Terms & Conditions (the “Terms”) govern the relationship between any supplier requesting listing services (the “Supplier”) and MODREG Regulatory Digital Solutions LLC (the “Company”).

By submitting any Supplier Content, proceeding with payment, or requesting the creation or renewal of a Listing, the Supplier confirms full and unconditional acceptance of these Terms.

If the Supplier does not agree to these Terms, the Supplier must not submit any materials, must not request publication, and must not make any payment to MODREG.

If any dispute arises between the individual contacting the Company and the Supplier regarding authority, instructions, ownership of content, or control over the Listing, the Company may treat both parties as the Supplier for the purposes of these Terms. In all such cases, the Supplier’s sole and exclusive remedy is to cancel the applicable membership or subscription. The Supplier shall not be entitled to any refund, compensation, or demand for changes, and the Company shall bear no responsibility for resolving internal disputes.

Definitions

For the purposes of these Terms, the following definitions apply:

Term Definition
“MODREG” means the digital platform, system, brand, and technological infrastructure owned and operated by the Company, including its web-application, website, modules, interfaces, tools, and any enhancements, updates, or future versions developed by the Company.
“Listing” means the publication, display, or presentation of Supplier Content on MODREG, including any subdomain, related domain, successor domain, or any other website, platform, or digital channel operated, controlled, or designated by the Company now or in the future for the Supplier Listing Service.
“Supplier Content” means all information, product data, descriptions, specifications, certificates, regulatory approvals, images, marketing materials, documents, and any other materials submitted by the Supplier to the Company for publication on MODREG.
“Supplier Listing Service” means the listing, publication, formatting, and display services performed manually by the Company. This service does not include a Supplier login, dashboard, or user account.
“Website” means the MODREG website and web-application, modreg.app, and any associated subdomain, platform, or online presence operated by the Company for publication of Supplier Content.

Nature of Service

  • The Supplier Listing Service is a visibility-only service. The Supplier does not receive any system access, login credentials, dashboard, or user account.
  • The Supplier submits all Supplier Content externally via email to the Company, and the Company manually prepares and publishes the Listing based on the submitted materials.
  • The Company does not act as a broker, intermediary, agent, or representative of the Supplier and does not participate in, negotiate, or guarantee any commercial transactions between the Supplier and any third party.
  • The Company does not guarantee any business leads, inquiries, commercial opportunities, sales, or financial outcomes resulting from the Supplier’s Listing.
  • Publication of Supplier Content is subject to the Company’s compliance, verification, and quality standards, and may be declined or adjusted at the Company’s discretion.

Supplier Listing Process

  • The Supplier shall submit all required Supplier Content and documentation to the Company via email at: [email protected].
  • The Company will prepare the Listing within 7 to 10 business days following receipt of full payment and complete Supplier Content.
  • The Company may, at its sole discretion, provide the Supplier with a draft of the Listing for review. If no draft is provided, the Company may proceed directly to publication. If a draft is provided and the Supplier does not respond within 3 business days, the Company may publish the Listing at its discretion.
  • Any updates or modifications requested by the Supplier will be implemented by the Company within 5 to 7 business days after receiving the updated materials.
  • The Supplier shall not alter, replace, remove, or exchange previously submitted and published products for the purpose of increasing the number of listed materials under the applicable subscription package. Any request to add new products beyond the package limit must be made through an approved upgrade to a higher subscription tier and payment of the corresponding fees.

Supplier’s Obligations

The Supplier agrees to:

  • Provide accurate, lawful, and up-to-date content;
  • Submit only genuine certifications and documents;
  • Notify the Company of any regulatory or product-related changes;
  • Not request publication of unapproved, illegal, or misleading materials; and
  • Take full responsibility for the accuracy and legality of Supplier Content.

Company Rights and Responsibilities

The Company may:

  • Publish Supplier Content in appropriate categories;
  • Format content for display (without changing meaning);
  • Request additional documentation for verification;
  • Decline or remove content that violates standards; and
  • Unpublish listings for non-compliance or non-payment.

The Company does not verify accuracy of Supplier Content.

Fees and Payment

  • Supplier Listings are provided exclusively on a prepaid Monthly or Annual membership basis. No preparation work begins until full payment is received.
  • No Listing will be created, processed, scheduled, or published unless full payment for the selected membership is received and confirmed by the Company.
  • All fees paid under the membership are strictly non-refundable once payment is made, regardless of Listing status, performance, commercial outcomes, or Supplier withdrawal.
  • Membership renewal must be paid before the expiration date to maintain continuous publication. If renewal payment is not received on time, the Company may unpublish the Listing without notice.

Listing Removal and Suspension

The Company may remove, unpublish, or suspend a Listing at any time, in whole or in part, if:

  • any Supplier Content is inaccurate, misleading, incomplete, unlawful, or not aligned with applicable regulatory requirements;
  • any certificates, approvals, or required documentation expire or become invalid;
  • any regulatory concern, investigation, or compliance issue arises regarding the Supplier or the listed products;
  • any complaint is received relating to product safety, authenticity, quality, or regulatory status;
  • membership fees are unpaid, late, or not renewed prior to expiration; and/or
  • the Supplier breaches these Terms or any applicable laws or regulations.

The Company may, at its sole discretion, reinstate a Listing once all issues have been fully resolved to the Company’s satisfaction.

The Supplier acknowledges that the suspension, removal, or unpublishing of any Listing under this Article does not entitle the Supplier to any refund, credit, or compensation. All fees paid remain strictly non-refundable.

Intellectual Property

  • The Supplier retains full ownership of all trademarks, product information, images, documents, certificates, and any other materials it submits as Supplier Content.
  • The Supplier grants the Company and MODREG a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, publish, format, display, and store the Supplier Content solely for the purposes of creating, maintaining, and operating the Listing.
  • All rights, title, and interest in and to the MODREG platform, including its website layout, structure, format, software, code, design elements, databases, and all related intellectual property, remain the exclusive property of the Company.
  • Nothing in these Terms shall be construed as transferring any ownership of MODREG or the Website to the Supplier.
  • The Supplier authorizes the Company and MODREG to use the Supplier’s name, logo, trademarks, and general Listing details for marketing, promotional, and informational purposes, including on the Website and Company communication materials.

Data Protection & Confidentiality

  • The Company stores Supplier Content securely using reasonable and appropriate industry-standard technical and organizational measures.
  • Supplier Content will only be accessed, used, or disclosed by the Company for the following purposes:
    • preparing, formatting, and publishing the Listing;
    • responding to lawful regulatory authority requests; and/or
    • complying with applicable laws, legal obligations, or court orders.
  • The Supplier represents and warrants that it has all necessary rights, approvals, permissions, licenses, and authorities to submit the Supplier Content and to authorize its publication.
  • The Company is not responsible for verifying the accuracy, authenticity, or legality of the Supplier Content submitted for publication.

Representations & Warranties

The Supplier represents and warrants that, at all times during the membership term:

  • all Supplier Content submitted to the Company is accurate, complete, lawful, and not misleading in any manner;
  • all documents, certificates, approvals, and regulatory materials provided are authentic, valid, and current;
  • the Supplier holds all necessary rights, licenses, authorizations, and permissions to submit the Supplier Content and to authorize its publication on MODREG;
  • the Supplier Content does not infringe, violate, or misappropriate any third-party intellectual property rights, including trademarks, copyrights, designs, or proprietary information; and
  • all products, materials, and related information included in the Listing comply with all applicable laws, regulations, standards, and regulatory requirements

The Supplier acknowledges that the Company does not verify or validate the accuracy or legality of Supplier Content and relies entirely on the Supplier’s warranties under this Article.

Indemnity

The Supplier shall fully indemnify, defend, and hold harmless the Company and its affiliates, directors, employees, and contractors from and against any and all claims, losses, liabilities, damages, penalties, regulatory actions, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • any inaccurate, incomplete, false, misleading, or unlawful Supplier Content;
  • any product defects, safety issues, adverse events, or quality-related complaints concerning the Supplier’s products;
  • any violation of applicable laws, regulations, or regulatory requirements by the Supplier or the listed products;
  • any expired, invalid, forged, or misleading certificates, documents, or approvals submitted by the Supplier;
  • any misrepresentation, omission, or breach of the Supplier’s warranties under these Terms; and/or
  • any claim that the Supplier Content infringes, violates, or misappropriates the intellectual property rights of any third party.

This indemnification obligation shall survive expiration, suspension, removal of the Listing, and termination of these Terms.

Limitation of Liability

  • The Company and MODREG shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of business, revenue, profits, opportunities, goodwill, or reputation, arising out of or related to the Supplier Listing Service.
  • The Company and MODREG are not responsible for product-related issues, including but not limited to product defects, safety concerns, regulatory penalties, compliance failures, recalls, or any actions taken by regulatory authorities in connection with the Supplier’s products.
  • To the maximum extent permitted by law, the total aggregate liability of the Company and MODREG for any claim arising out of or relating to these Terms or the Supplier Listing Service shall be strictly limited to the total amount paid by the Supplier to the Company for the Listing during the preceding three (3) months.

Term and Termination

Effective Date:

  • These Terms become effective immediately upon the Supplier’s payment of the applicable Monthly or Annual membership fee.

Monthly Membership:

  • Under the Monthly Plan, the Listing remains active on a month-to-month basis and automatically renews unless the Supplier cancels at least seven (7) days before the next billing date.
  • If the monthly payment is not received on the billing date, the Supplier will have a three (3)-day grace period to complete payment.
  • If payment is not received within the grace period, the Listing shall be automatically unpublished without further notice.

Annual Membership:

  • Under the Annual Plan, the Listing remains active for twelve (12) months from the activation date.
  • Failure to pay the renewal fee before expiration will result in the Listing being unpublished.

Termination by Company:

The Company may suspend or terminate a Listing immediately, without prior notice, if:

  • any Supplier Content is false, misleading, unsafe, unlawful, or otherwise non-compliant;
  • any certificates or documents are expired, invalid, or unverified;
  • any regulatory, quality, or safety concerns arise regarding the Supplier or its products;
  • membership fees are overdue or unpaid;
  • the Supplier breaches these Terms or any applicable laws; or
  • the Listing creates or may create legal, regulatory, or reputational risks for the Company.

Refunds:

  • No refunds are provided for Monthly or Annual membership fees once paid, regardless of termination, suspension, unpublishing, or Supplier withdrawal.

Governing Law and Dispute Resolution

  • These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt.
  • The courts of New Cairo, Cairo, Egypt shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or relating to these Terms, the Listing, or the Supplier Listing Service.
  • Nothing in this Clause shall prevent the Company from seeking urgent injunctive or equitable relief before any competent court.

Changes to These Terms

  • The Company may amend, update, or modify these Terms at any time, at its sole discretion. Updated versions will be published on MODREG and will take effect immediately upon posting unless otherwise stated.
  • The Supplier’s continued use of the Supplier Listing Service, continued publication of the Listing, renewal of membership, or payment of any fees after such changes constitutes full and binding acceptance of the updated Terms.
  • If the Supplier does not agree to the updated Terms, the Supplier must immediately discontinue the Listing and may not renew or continue membership.

Miscellaneous

Assignment: The Supplier may not assign or transfer any rights or obligations under these Terms without the Company’s prior written consent. The Company may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

Entire Agreement: These Terms, constitute the entire agreement between the parties and supersede all prior agreements, understandings, or representations.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Force Majeure: Neither party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, strikes, government restrictions, natural disasters, power or internet failures, or pandemics.
