These Website Terms of Use (the “Terms”) govern your access to and use of the MODREG website, its public pages, and all publicly available Supplier Listings and content displayed on the Website (collectively, the “Website”). By accessing, browsing, or using any part of the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue all access and use of the Website.

Use of the MODREG Dashboard (including all features such as Portfolio, Tracker, Assignments, User Management, and other system modules) is governed exclusively by the separate MODREG Dashboard Terms of Use, which apply only to registered account holders.

Supplier Listings displayed on the Website are governed exclusively by the separate Supplier Listing Terms & Conditions, which solely regulate and define the legal relationship between the Company and all suppliers. No part of these Website Terms alters, replaces, or supplements the Supplier Listing Terms & Conditions.

Operator

This Website is operated by MODREG Regulatory Digital Solutions LLC, an Egyptian limited liability company incorporated under the Companies Law No. 159 of 1981, headquartered at District 5, Sokhna Road, New Cairo, Egypt (the “Company”).

Definitions

For the purposes of these Terms, the following definitions apply:

“MODREG”	means the digital platform, system, brand, and technological infrastructure owned and operated by the Company, including its Website, web-application, modules, interfaces, tools, and any enhancements, updates, or future versions developed by the Company.
“User(s)” or “you”	means any visitor, browser, or person accessing or using the Website.
“Supplier Content”	means all information, product data, descriptions, specifications, certificates, regulatory approvals, images, marketing materials, documents, and any other materials submitted by a Supplier to the Company for publication on MODREG.
“Supplier Listing”	means the publicly accessible section of the Website where Supplier Content is published and displayed by the Company.
“Website”	means the public-facing website operated by the Company, including all pages, content, and Supplier Listings accessible at modreg.app and any associated subdomain or linked public interface.
“Intellectual Property Rights”	means all copyrights, trademarks, service marks, trade names, trade dress, domain names, patents, know-how, database rights, software rights, and all other proprietary rights, whether registered or unregistered.

Acceptance of Terms

By accessing or using this Website, you represent and warrant that you are of legal age and capacity to enter into a binding agreement and that you will comply with these Terms and all applicable laws and regulations.

The Company may amend or update these Terms at any time at its sole discretion. The updated version will be posted on the Website with the “Last Updated” date revised. Your continued access or use of the Website after any such update constitutes your full acceptance of the revised Terms.

If you do not agree to any updated Terms, you must immediately stop using the Website.

Access to the Website

Use of the Supplier Listings

The Supplier Listings are provided solely for general informational and discovery purposes. You may browse Supplier Content, but you must not rely on it for regulatory, medical, technical, commercial, procurement, or purchasing decisions without conducting your own independent verification and due diligence.

The Company does not verify, monitor, review, authenticate, approve, or endorse any Supplier Content and makes no representation or warranty regarding its accuracy, completeness, legality, validity, safety, regulatory compliance, or fitness for any purpose. Supplier Content is published strictly on an “as is” and “as available” basis.

Any certificates, approvals, quality marks, or regulatory documents displayed (including but not limited to ISO, GMP, CE, FDA, and similar certifications) are provided solely as submitted by the Supplier. The Company does not verify, validate, authenticate, or confirm the accuracy, currency, legitimacy, or regulatory standing of any such certificates or claims. Users must independently verify all certifications directly with the Supplier or relevant authorities.

Any communication, correspondence, inquiry, negotiation, or transaction you undertake with any supplier is strictly between you and that supplier. The Company is not a party to, does not participate in, and bears no responsibility or liability for any such dealings, outcomes, or disputes.

The Company may, at its sole discretion, remove, edit, or restrict access to Supplier Content that appears unlawful, inaccurate, misleading, or in violation of these Terms. However, the Company has no obligation to monitor Supplier Content or to take any action against it.

Prohibited Uses

You must not, whether directly or indirectly, and whether manually, automatically, or through any third party:

Copy, reproduce, republish, distribute, display, transmit, or otherwise make available any part of the Website or any Supplier Content, except for personal, non-commercial viewing.
Capture, screenshot, screen-record, photograph, download, or archive any part of the Website or Supplier Listings for any commercial, competitive, or analytical purpose.

The “MODREG” name, logo, brand elements, and all associated designs are trademarks and proprietary assets of the Company. Any other names, logos, or trademarks appearing within the Supplier Listings or elsewhere on the Website are the property of their respective owners and are used for identification purposes only.

You are granted a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and view the Website solely for personal, lawful, and informational purposes. Nothing in these Terms grants you any ownership, rights, or licenses in or to the Website, Supplier Content, or any Intellectual Property Rights.

You must not remove, alter, obscure, or interfere with any copyright notices, trademark symbols, proprietary labels, or attribution statements displayed on or embedded within the Website.

Supplier Content Disclaimer

Supplier Content is submitted solely by independent third-party suppliers. The Company does not create, edit, verify, validate, authenticate, approve, endorse, or guarantee any Supplier Content, including but not limited to product descriptions, specifications, certificates, regulatory approvals, images, or any related materials.

The Company makes no representation or warranty, express or implied, regarding the accuracy, completeness, reliability, legality, safety, authenticity, quality, or regulatory compliance of any Supplier Content.

Any certificates or regulatory documents displayed (including ISO, GMP, CE, FDA, or other approvals) are provided exactly as submitted by the Supplier. The Company does not verify or confirm the validity, currency, authenticity, or regulatory standing of any such certificates.

The Company shall not be responsible or liable for any loss, damage, penalty, regulatory action, safety issue, or consequence arising from or related to Supplier Content or any reliance on it.

Your reliance on any Supplier Content is entirely at your own risk, and you are solely responsible for conducting independent verification before making any regulatory, technical, commercial, or purchasing decisions.

Commercial Use Prohibition

The Company disclaims all responsibility and liability for:

To the maximum extent permitted by law, the Company’s total liability shall be zero (0) for any claim arising out of or relating to the Website or the Supplier Listings.

The Company may, at its sole discretion, suspend, restrict, disable, or terminate your access to the Website or Supplier Listings at any time, with or without notice, if:

the Company believes you have violated these Terms or any applicable law;
you engage in any activity that may harm, disrupt, or interfere with the Website’s functionality, security, or integrity;
you misuse, scrape, copy, or exploit Supplier Content or other Website materials;
the Company deems it necessary for legal, regulatory, security, operational, or business reasons.

The Company shall not be liable to you or to any third party for any suspension, restriction, or termination of access.

All disclaimers, exclusions of liability, indemnities, and Intellectual Property Rights provisions shall survive any suspension or termination of your access to the Website.

Governing Law and Dispute Resolution

These Terms, and any dispute, controversy, or claim arising out of or relating to your use of the Website or the Supplier Listings, shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt.

The courts of New Cairo, Cairo, Egypt shall have exclusive jurisdiction to resolve any dispute, claim, or proceeding arising out of or relating to these Terms, your use of the Website, or any Supplier Content.

Nothing in this Clause shall prevent the Company from seeking urgent, interim, injunctive, or equitable relief before any competent court to protect its rights, intellectual property, systems, or interests.

Changes to the Website

The Company may modify, update, enhance, suspend, restrict, or discontinue any part of the Website or the Supplier Listings at any time, whether temporarily or permanently, and without prior notice. The Company shall have no liability to you or to any third party for any such changes or interruptions.
